TRUST & LEGAL / EARNSELA

Terms of use and paid subscriptions

Version 2026-10-31 · Legal review edition 8 · Last reviewed 31 October 2026

Beta policy review · not approved for general or paid launch. These review documents do not activate a paid plan or certify compliance. Outstanding operational checks remain.

1. The agreement and contracting company

Earnsela is a product and trading name of Adjoavi Lifestyle Ltd, registered in England and Wales, company number 16052993. Registered office: 11 Leicester Road, Mountsorrel, Loughborough, England, LE12 7AJ. In these terms, “Earnsela”, “we”, “us” and “our” mean that company. Contact legal@earnsela.com for support, complaints, cancellation or privacy questions.

These review terms cover the proposed UK adult, individual service. They are not a live checkout or a retrospective paid contract. A paid agreement must be formed through an express order after the customer has received the plan description, total price, billing frequency, cancellation information and applicable terms. A privacy notice is information about processing, not blanket consent.

When the commercial service opens, the agreed order and plan description, these terms and expressly identified feature terms will form the contract. Mandatory law takes priority. The order determines the purchased price and benefits; a general disclaimer cannot contradict an express promise or remove a mandatory right. New or materially adverse terms cannot be imposed merely by silently replacing a page. Keep the durable confirmation supplied with your order.

2. Eligibility and individual use

The intended account holder is aged 18 or over, ordinarily based in the UK, and keeping their own work records. One account is for one individual; do not resell access or share credentials. Keep contact details accurate. Employer or organisational administration, shared team accounts and professional claims services require a separately assessed agreement.

Using Earnsela for personal employment records, or generating an occasional invoice for your own work, does not by itself determine employment status, make an employer a party, or remove consumer protections. An employer email address does not authorise you to bind your employer. Consumer status depends on the law and the actual use, not simply the account label.

3. Accounts, credentials and permissions

Use credentials and payment methods you are authorised to use. Protect your device and account, install appropriate security updates and tell us promptly about suspected compromise. We may require proportionate identity verification before access to sensitive information, account recovery, deletion or changes. Do not send passwords, tokens, full card details or identity documents through ordinary feedback.

You are responsible for actions you authorise and must take reasonable care of your account. This is not an automatic allocation to you of all losses following unauthorised access. We remain responsible for our own security duties and any liability the law places on us. Location and reminder permissions are optional and separately controlled; refusing them does not remove core time recording.

4. Two paid plans and the present beta

The proposed commercial service has two paid plans: Essentials and Clarity. There is no permanent free plan or promotional free trial. Suggested review prices are Essentials £2.99 per month or £29 per year, and Clarity £3.99 per month or £39 per year. These are proposed total consumer prices inclusive of any applicable VAT, subject to validation before checkout opens. They are not an invitation to send payment and do not create a debt.

The separate sample-data beta is controlled testing, not a free commercial tier. Payments are disabled and existing testers are not being retrospectively charged or automatically converted. A tester would need to make a separate, informed paid order to become a commercial subscriber.

The commercial feature list and numeric limits must match the verified release. Roadmap items, possible AI tools, screenshots and demonstration data are not a commitment to deliver an unlaunched feature. We must not sell a plan on a feature advertised as available when it is not available. A customer is entitled to the description and promises actually forming their purchase contract.

5. What Earnsela does and does not do

Earnsela provides tools for recording shifts, breaks, rates, corrections, documents and estimated pay, with other features only where described as included and released. You must review dates, paid and unpaid time, pay periods, contractual rates and extracted fields. An estimated gross amount is different from net pay after deductions. A difference is a reason to investigate, not a determination that an employer broke the law.

Earnsela is not your employer, payroll bureau, bank, insurer, tax adviser, solicitor or representative. It does not hold or transfer wages, initiate bank payments, access bank accounts or submit tax returns in the present beta. No FCA authorisation, HMRC recognition, Acas endorsement or evidence certification is claimed. Future regulated activities require their own assessment.

Your employer remains responsible for its payroll and statutory payslips. Earnsela does not assume the employer’s wage debt or promise to recover money, obtain a refund, win a dispute, stop a legal deadline or secure acceptance of an export by an authority. An invoice does not determine employment status or tax treatment. Nothing prevents liability for an actual breach of our own obligations.

6. Records, corrections and evidential limits

You retain your rights in your records. Enter information honestly, mark reconstructed entries and record reasons for corrections. Do not fabricate hours, manipulate coordinates or erase provenance to mislead another person. A server receipt, timestamp, location stamp, correction history or file hash has the specific meaning shown by the feature; none independently proves attendance, accuracy, authorship or legal admissibility.

Keep source documents and your own copies of important records. Browser storage, offline queues, device clocks, permission settings, network loss and storage limits may affect collection and synchronisation. An upload must be checked for a successful receipt; an offline or pending event is not yet a server record. Backup advice does not excuse a failure by us to provide a contracted storage or recovery feature with reasonable care.

No employer, agency, Acas, HMRC or tribunal is automatically notified. Review an export before sharing it. Disclosing it is your decision unless an explicitly released integration states otherwise or a lawful disclosure is required.

7. Calculations, document extraction and AI

Only the supported calculation methods and work patterns disclosed for the released feature are covered. Holiday-pay, minimum-wage and overtime questions can require different rules from a simple hours-times-rate calculation. Current beta limitations include manual document interpretation, limited holiday methods and no automatic 52-week holiday-pay average. Seek appropriate advice where the answer affects a claim or deadline.

Any future document extraction or AI feature must follow the separate AI and analysis notice. Automated output can contain omissions or errors and must be compared with the original. Do not use it to make an unreviewed legal, employment or financial decision. We do not warrant that suggested text or machine output is unique or legally sufficient. These limitations describe the tool and do not displace reasonable-care duties or the accuracy obligations applicable to personal data.

8. Content permission and our intellectual property

You grant us a non-exclusive, limited permission to store, copy, transmit, reformat and display content only as needed to provide the service you request, secure it, comply with law and manage permitted retention. Authorised suppliers may perform those tasks under appropriate arrangements. This is not a transfer of ownership, a licence to publish private records, permission to sell them or a general model-training licence.

Our software, interface, documentation, wordmark and other brand materials belong to us or our licensors. While you are entitled to access a released service, we grant a limited, non-transferable licence to use it for the agreed purpose. Do not copy or commercially exploit protected software, misrepresent affiliation, remove proprietary notices or bypass technical controls. Statutory exceptions, lawful interoperability, your own exports and fair lawful use are preserved.

If you voluntarily send suggestions, you permit us to evaluate and implement them without a royalty, without taking ownership of your work records or confidential attachments. Do not send another person’s confidential intellectual property as a suggestion.

9. Lawful use, documents and third parties

Use only material you are entitled to submit. Minimise irrelevant third-party information, redact unnecessary identifiers and do not upload sensitive or criminal-offence information unless the released collection flow lawfully supports it. The sample-data beta must use invented or harmless redacted material only.

The Acceptable Use Policy prohibits fraud, impersonation, fabricated evidence, malware, unauthorised access, credential sharing, resale, security-control evasion, scraping of non-public data and deliberate resource abuse. Lawful complaints, whistleblowing, legally protected disclosure and good-faith vulnerability reporting are not prohibited merely because they concern Earnsela.

External resources and optional integrations have their own terms and processing. We are not responsible for an independently selected third party’s separate acts merely because we link to it. Where a supplier is used to perform our contracted service, we remain responsible to the extent required by our contract and law; we cannot transfer all responsibility to the supplier through a disclaimer.

10. Charges, ordering and renewal

Before any paid order, checkout must prominently show the total amount due, applicable taxes, monthly or annual frequency, initial charge date, renewal price and timing, features, usage limits, minimum commitment and cancellation route. An annual price is paid as an annual total, not in monthly instalments merely because a monthly equivalent is displayed. No extra analysis, storage or add-on charge may arise without express agreement.

A paid subscription would start only following an authorised order, acceptance and confirmed payment. A confirmation on a durable medium must identify the company, agreed plan, price, contract version, relevant choices and cancellation information. Recurring payments must be expressly authorised; a stored card or a beta account is not consent to subscribe.

Ordinary renewal is for the selected billing period unless stopped through the available cancellation route. Necessary reminders and end-of-contract notices must be delivered as required by the law applicable when the order is made. No renewal may be charged earlier than authorised. If payment fails, we may notify you and proportionately pause new paid activity; we must not misstate the debt, fabricate arrears or defeat data rights.

11. Usage allowances and upgrades

Proposed Essentials includes two active jobs, unlimited shift and break records, reminders, manual checks of entered payslip figures against estimated gross pay, straightforward hours and estimated-pay totals for a selected week or month, document organisation, holiday-hours tracking, PDF/spreadsheet exports with correction history and up to three invoices per month. Holiday tracking includes earned, booked, taken and remaining hours, with earned-hours estimates for eligible irregular-hours and part-year workers; other working patterns require verified manual balances and adjustments. Proposed Clarity includes everything in Essentials, unlimited active jobs, up to ten successfully completed new uploaded-payslip checks per subscription month, plain-English prompts linked to recorded hours, rates and breaks, comparisons of recorded hours and gross pay between two paydays with explanations linked to the user’s records, a record bundle with a contents list and unlimited ordinary invoice generation. Assisted analysis, explanations and payday-to-payday comparisons are planned features, not live beta functions. Specific storage, file/page and technical limits must be prominently fixed before any sale.

An analysis allowance concerns a successfully completed new payslip check, not every attempt or support message. Reopening a saved result does not consume another check. Failed technical submissions do not consume an allowance. Allowances reset by the disclosed subscription month, including within an annual plan; there is no cash value or carry-over unless agreed. No unlimited AI usage is promised. Additional charges require a separately authorised purchase.

Plan changes must show any prorated amount, effective date and resulting limits before agreement. A downgrade normally takes effect at the next renewal. We will not automatically delete records because a customer changes plan; if future uploads would exceed a disclosed limit, explain options and preserve existing data rights. Anti-abuse safeguards must be proportionate and cannot be used to remove ordinary advertised use.

12. Cancellation, cooling-off and refunds

You may stop ordinary renewals through the cancellation route shown at purchase, or by an unambiguous request to legal@earnsela.com. You need not give a reason, make a phone call or accept a retention offer. Ordinary cancellation normally leaves the paid period available until its stated end and does not by itself refund properly supplied past access. Statutory rights and any additional express promise take priority.

Where the Consumer Contracts Regulations 2013 apply, the applicable initial cancellation period for the proposed service is normally fourteen days from contract formation. Any lawful request for immediate performance, proportionate deduction or exception for digital content must be separately and correctly obtained and explained; reading these terms is not that request or waiver. Earnsela must not take payment until its specific classification and checkout process have been validated.

If a later subscription regime applies to an order, its mandatory initial or renewal cooling-off rights, notices, refund and exit rules override any narrower wording here. The October 2026 government publication is draft guidance with proposed future application; it is not treated as proof that all new rules already apply.

Refunds required by law will be processed by the applicable statutory deadline, normally through the original payment method without an administration penalty. Faulty, misdescribed or improperly supplied services can give separate remedies. There is no blanket “all payments are non-refundable” term. Account deletion, payment cancellation and retrieval of records are distinct processes and must not be used to obstruct each other.

13. Records after payment ends

Payment is required for new commercial recording, analysis and other subscribed activity after the paid period ends. Access to legal notices, support about billing, privacy rights and a reasonable route to retrieve existing personal records is not sold as a separate subscription. There is no perpetual free working tier.

The proposed commercial exit design is thirty days of read-only retrieval after the paid period ends, with no new logging or analysis. It must be implemented and accurately described before billing starts; it is not a claim that a timed expiry mechanism is active in this beta. Legal access, portability, retention and erasure duties may require different treatment and always take priority. Do not infer automatic deletion on day thirty: use the retention notice and any specific deletion notice.

14. Availability, changes and external events

We will provide the contracted service with reasonable care and skill. No enterprise uptime percentage, continuous monitoring of a claim or uninterrupted connectivity is promised unless expressly agreed. We may carry out proportionate maintenance, security repairs and necessary legal changes, giving notice where reasonably possible.

Changes to a paid service must have a valid reason, such as law, security, compatibility or improving the service, take account of your interests and preserve mandatory rights. A material reduction during a paid period requires an appropriate option to end access and any refund or remedy due. We will not rely on a roadmap disclaimer to remove a feature actually included in a paid order.

For events genuinely beyond our reasonable control, we must take reasonable steps to reduce disruption and inform affected customers where appropriate. The excuse applies only to the affected obligation and period. It does not remove responsibility for our avoidable failures, supplier management duties, unused prepaid access or remedies required by law.

15. Suspension and termination

We may restrict the affected function or account where reasonably necessary to address a credible security risk, unlawful use, material or repeated breach, an unpaid authorised amount, or a legal obligation. Prefer a proportionate restriction. Except where immediate action is justified, explain the reason and allow a reasonable opportunity to remedy it. Do not disclose information that would undermine security or break the law.

We may discontinue the service for a valid operational or commercial reason with reasonable advance notice where possible, a practical record-retrieval route and an appropriate refund for unused prepaid service where due. Suspension is not a licence to confiscate records or retain all money irrespective of the circumstances. Contact legal@earnsela.com to challenge an error; the Complaints Policy explains the route.

16. Our responsibility and lawful limits

Nothing in these terms excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any right, duty or liability that applicable law does not permit to be excluded. This includes mandatory consumer remedies and applicable data-protection rights. An acknowledgement of a risk does not waive those protections.

We are responsible for loss or damage that is a reasonably foreseeable result of our breach of the contract or failure to exercise reasonable care and skill, subject to the applicable rules on causation and mitigation. We do not accept responsibility for losses not caused by our breach or acts, for losses that were not reasonably foreseeable when the contract was made, or for the independent wage debt or unlawful conduct of an employer merely because our tools record it.

The intended service is an individual record tool, not an enterprise or professional claims system. We do not undertake to meet undisclosed commercial requirements or insure business-interruption or trading risks. Whether a particular loss can be excluded depends on the actual contract and applicable law; loss of wages or personal records is not automatically excluded by labelling it a business, financial or consequential loss.

We do not impose a universal liability cap equal to fees paid, a blanket data-loss waiver, a shortened consumer claim period or an obligation to pay all third-party claims regardless of fault. You remain responsible under the ordinary law for loss directly caused by your own unlawful conduct or breach; we would need to establish the facts, causation and recoverable amount. There is no automatic consumer indemnity or contractual fine.

17. Complaints, disputes and governing law

Contact legal@earnsela.com with a concise description and desired resolution. The Complaints Policy covers account, billing, content and privacy issues. Using the process does not prevent court proceedings, statutory remedies or a complaint to the ICO, and does not stop a legal time limit. No compulsory arbitration, class-action waiver or foreign forum is imposed on UK consumers.

English and Welsh law governs this agreement, without removing mandatory protections that apply in your home part of the UK. Consumers may bring proceedings in the courts available to them under applicable law, including their home part of the UK where permitted. No one is deemed to have agreed to jurisdiction merely by sending a privacy request.

18. General contract provisions

A waiver of one breach is not a waiver of another. If a provision is unenforceable, the remaining agreement applies where it can fairly operate without that provision; this does not rewrite an unfair clause to impose an equivalent burden on you. Terms that must continue to operate, including ownership, permitted retention, accrued lawful payment obligations and dispute rights, survive only for their legitimate purpose.

We may transfer the agreement only where the change does not materially reduce your rights or guarantees; notify you of a material transfer and provide any exit right required by law. Your statutory ability to transfer rights or act through a lawful representative is unaffected. Neither party can use an entire-agreement statement to exclude fraud or binding pre-contract information. These terms create no employment, partnership, agency or legal-adviser relationship.
